TERMS & CONDITIONS
PLEASE READ THESE TERMS CAREFULLY
These Terms & Conditions form a legally binding agreement between you and Green Hydro AgTech Inc. governing your access to and use of our websites, the Producer-Buyer Relationship Exchange platform, and related services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms
These Terms & Conditions (“Terms,” “Agreement”) constitute a legally binding agreement between you (“you,” “User”) and Green-Hydro AgTech Inc., a company incorporated in the Commonwealth of Dominica (Company Registration No. 2026/C0053) (“Green-Hydro,” “we,” “our,” or “us”). These Terms govern your access to and use of:
- The websites operated by Green-Hydro, including greenhydro.com and ghagtech.com (the “Sites”)
- The Producer-Buyer Relationship Exchange and Farm Operations Platform (the “Platform”)
- Any related mobile applications, APIs, tools, content, and services (collectively with the Sites and Platform, the “Services”)
By accessing or using our Services, creating an account, submitting information through any form, or interacting with our content, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms, you must not access or use our Services.
ADDITIONAL AGREEMENTS: Certain Services may be subject to additional or supplemental terms — including but not limited to Producer Agreements, Buyer Agreements, Investor Disclosures, and specific feature terms. Where such additional terms exist, they apply in addition to these Terms. In the event of conflict, the additional terms will govern with respect to the specific Service.
2. Eligibility
By using our Services, you represent and warrant that:
- You are at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
- You have the legal capacity to enter into a binding agreement
- If you are using the Services on behalf of a business, organization, or other legal entity, you have the authority to bind that entity to these Terms
- Your use of the Services does not violate any applicable law or regulation in your jurisdiction
- You are not barred from using the Services under the laws of the Commonwealth of Dominica or any other applicable jurisdiction
- You have not previously been suspended or removed from our Services We reserve the right to refuse Service, terminate accounts, or cancel transactions at our sole discretion
where these representations are found to be untrue or where we reasonably believe our Services are being used in violation of these Terms.
3. Definitions
For the purposes of these Terms, the following definitions apply:

| Investor | An individual or entity accessing investor-oriented content, materials, or opportunities offered by Green-Hydro |
| Content | Any text, data, information, images, video, audio, or other material published on or transmitted through the Services |
| User Content | Content submitted, uploaded, posted, or otherwise made available by Users through the Services |
| Transaction | A commercial arrangement facilitated through the Platform between a Producer and a Buyer |
| Green-Hydro Content | Content owned or licensed by Green-Hydro, including branding, trademarks, software, and proprietary information |
4. Account Registration and Security
4.1 Account Creation
To access certain Services – including the Producer-Buyer Platform – you must register for an account.
When you register, you agree to:
- Provide accurate, current, and complete information about yourself or the entity you represent
- Maintain and promptly update your account information to keep it accurate, current, and complete
- Choose a strong password and keep it confidential
- Not share your account credentials with any third party
- Notify us immediately of any unauthorized access to or use of your account
- Accept responsibility for all activities that occur under your account
4.2 Account Verification
We reserve the right to verify the identity and credentials of any User at any time. This may include requesting government-issuedn identification, business registration documents, farm certifications, or other supporting documentation. Failure to provide requested verification may result in restriction or suspension of your account.
4.3 Account Suspension and Termination
We may suspend or terminate your account at any time, with or without notice, for any violation of these Terms, applicable law, or for any other reason at our sole discretion. Upon termination, your right to access the Services immediately ceases, though certain provisions of these Terms will survive as described in Section 21.
5. User Categories and Specific Terms
Our Services accommodate different categories of Users. Specific obligations and rights apply to each category as follows.
5.1 Producers (Farmers and Growers)
By registering as a Producer, you additionally represent, warrant, and agree that:
- You are a legitimate agricultural producer with the right to sell the products you list on the Platform
- Any certifications you claim (organic, sustainable, fair trade, or other) are current and valid
- Your products comply with all applicable food safety, labeling, and regulatory requirements in the jurisdictions where they are grown, sold, and delivered
- You will accurately represent product characteristics, pricing, availability, and lead times
- You will fulfill accepted orders in accordance with the terms agreed with each Buyer
- You maintain any licenses, permits, and insurance required to conduct your agricultural business
- You are responsible for your own tax obligations arising from Transactions facilitated through the Platform
5.2 Buyers
By registering as a Buyer, you additionally represent, warrant, and agree that:
- You are authorized to make purchases on behalf of yourself or the entity you represent
- You will comply with all applicable laws regarding the import, distribution, storage, and resale of products purchased through the Platform
- You are responsible for any import duties, taxes, or regulatory approvals required in your jurisdiction
- You will honor Transactions in which you have committed, including payment obligations
- You will accurately represent your identity, business, and purchase requirements
- You will inspect products upon delivery and raise any quality concerns promptly in accordance with agreed dispute procedures
5.3 Investors and Prospective Investors
Investor-oriented materials on our Sites – including business plans, financial projections, and pitch decks – are provided for informational purposes only. By accessing such materials, you acknowledge and agree that:
- The materials do not constitute an offer to sell securities or a solicitation of an offer to buy securities in any jurisdiction where such offer or solicitation would be unlawful
- Financial projections and forward looking statements involve inherent uncertainty and actual results may differ materially
- You are responsible for consulting independent legal, financial, and tax advisors before making any investment decision
- Where you engage with Green-Hydro regarding a potential investment, separate binding investment documentation will govern that investment relationship
NOT AN INVESTMENT OFFER
Nothing on our Sites constitutes an offer to sell or a solicitation of an offer to buy any securities. Any investment in Green-Hydro will only be made pursuant to definitive investment documentation executed by all parties, subject to applicable securities laws in relevant jurisdictions.
5.4 General Visitors
General visitors — those who use the Sites without registering — are also bound by these Terms. General visitors may access publicly available content, complete inquiry forms, and subscribe to newsletters, subject to compliance with these Terms.
6. Producer-Buyer Transactions and Green-Hydro's Role
CRITICAL: GREEN-HYDRO IS A FACILITATOR, NOT A PARTY TO TRANSACTIONS
The Producer-Buyer Platform is a marketplace that facilitates connections and Transactions between independent Producers and Buyers. Except where Green-Hydro is itself the seller (i.e., where products originate from Green Hydro’s own farm operations), Green-Hydro is not a party to any Transaction between a Producer and a Buyer. We do not own the products listed by Producers, do not take title to those products, and do not undertake the obligations of the seller or the buyer in any such Transaction.
6.1 Transactions Between Users
Producers and Buyers are solely responsible for negotiating, executing, and performing their Transactions, including but not limited to:
- Product specifications, quality standards, and quantities
- Pricing, payment terms, and payment methods
- Delivery arrangements, timing, and risk of loss
- Compliance with all applicable laws, regulations, and industry standards
- Insurance, warranties, and indemnities
- Dispute resolution between the parties
6.2 Green-Hydro-Sold Products
Where Green-Hydro is the seller of products (i.e., products produced by Green-Hydro’s own farm operations), Green-Hydro will be a party to that Transaction and separate sales terms will apply. Such terms will be provided at the time of order or as part of a separate supply agreement.
6.3 Platform Fees and Commissions
Use of the Platform may be subject to fees, commissions, subscription charges, or other financial obligations as separately disclosed on the Sites or in Producer/Buyer Agreements. Green-Hydro reserves the right to modify its fee structure with reasonable notice to affected Users. Continued use of the Platform after a fee change constitutes acceptance of the new fees.
6.4 Dispute Resolution Between Users
Green-Hydro may, at its discretion, offer informal mediation to help resolve disputes between Producers and Buyers. However, Green-Hydro is not obligated to mediate, arbitrate, or otherwise resolve disputes between Users. Users retain all legal rights to pursue disputes with each other through appropriate channels.
7. User-Generated Content
7.1 Ownership of User Content
You retain ownership of any User Content you submit, upload, post, or otherwise make available through the Services. This includes farm profiles, product listings, product images, testimonials, reviews, and communications.
7.2 License Granted to Green-Hydro
By submitting User Content, you grant Green Hydro a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with:
- Operating, maintaining, and improving the Services
- Facilitating Transactions on the Platform
- Marketing and promoting the Services (including your listings)
- Complying with legal obligations
This license continues for as long as your User Content is retained on the Services, and survives termination of your account with respect to any User Content that has been shared with other Users or incorporated into aggregated data.
7.3 User Content Representations
By submitting User Content, you represent and warrant that:
- You own or have obtained all necessary rights, licenses, and consents to submit the User Content and grant the license above
- Your User Content does not infringe any third-party intellectual property, privacy, publicity, or other rights
- Your User Content is accurate, not misleading, and not defamatory
- Your User Content complies with all applicable laws and these Terms
7.4 Content Moderation
We reserve the right – but are not obligated – to review, edit, refuse, or remove any User Content at our sole discretion. This includes User Content that we believe violates these Terms, is unlawful, offensive, misleading, or otherwise objectionable, or that could expose Green-Hydro to legal liability.
8. Prohibited Uses
You agree not to use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party’s use. Without limitation, you agree not to:
- Violate any applicable law, regulation, or third-party right
- Use the Services for any fraudulent, deceptive, or unlawful purpose
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Submit false, misleading, or inaccurate information
- Engage in unauthorized commercial activities, including spamming, phishing, or pyramid schemes
- Upload viruses, worms, malware, or other malicious code
- Attempt to gain unauthorized access to any part of the Services, other User accounts, or connected systems
- Use automated systems (bots, scrapers, spiders) to access the Services without our express written permission
- Reverse engineer, decompile, or disassemble any part of the Services
- Circumvent any technological measures designed to protect the Services or Green-Hydro Content
- Post, transmit, or distribute content that is unlawful, defamatory, obscene, hateful, discriminatory, or infringing
- Harass, threaten, intimidate, or harm other Users or Green-Hydro personnel
- Interfere with Transactions between other Users, including by contacting them outside the Platform to circumvent Platform fees
- Sell, resell, or exploit access to the Services without our written authorization
- Use the Services to compete with Green Hydro or to develop a competing product or service
9. Intellectual Property Rights
9.1 Green-Hydro's Intellectual Property
The Services and all associated content – including but not limited to software, source code, designs, graphics, logos, trademarks, service marks, images, video, audio, text, data, and databases – are owned by Green-Hydro or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
“Green-Hydro,” “Green-Hydro AgTech,” the Green-Hydro logo, and related marks are trademarks or service marks of Green-Hydro AgTech Inc. Nothing in these Terms grants you any right, title, or interest in or to any of these marks.
9.2 Limited License to Use the Services
Subject to your compliance with these Terms, Green-Hydro grants you a limited, non exclusive, nontransferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to:
- Copy, modify, or distribute any Green Hydro Content except as expressly permitted
- Use the Services for commercial exploitation outside the purposes intended by the Platform
- Frame, mirror, or scrape any portion of the Services
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Services (“Feedback”), you grant Green-Hydro a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate the Feedback into the Services without any obligation to compensate you.
9.4 Copyright Infringement Claims
If you believe that content on the Services infringes your copyright, please send a written notice to legal@greenhydro.com with the following information:
- Identification of the copyrighted work claimed to be infringed
- Identification of the material claimed to be infringing and its location on the Services
- Your contact information (name, address, telephone, email)
- A statement of good faith belief that the use is not authorized
- A statement of accuracy under penalty of perjury and that you are authorized to act on the copyright owner’s behalf
- Your physical or electronic signature
10. Third-Party Services and Content
The Services may include or interoperate with third-party services, applications, plugins, or content (“Third-Party Services”). Green-Hydro does not control Third-Party Services and is not responsible for their availability, accuracy, content, or practices. Your use of any Third Party Service is governed by that service’s own terms and privacy policy.
Third-Party Services that may be integrated with the Services include (but are not limited to):
- Payment processors
- Analytics providers (Google Analytics, etc.)
- AI-powered agricultural diagnostic tools (e.g., Plantix)
- Farm management platforms
- Email service providers
- Security services (Google reCAPTCHA)
- Social media platforms and embedded content
10.1 AI-Powered Features
Certain Services may incorporate artificial intelligence tools – including plant diagnostic features, yield predictions, and recommendations. All AI-generated outputs are provided for informational and advisory purposes only. AI outputs are not guaranteed to be accurate, complete, or suitable for your specific circumstances. You should not rely solely on AI outputs for critical agricultural, business, or financial decisions. Always consult qualified agronomists, veterinarians, or other appropriate professionals.
11. Payment Terms (Where Applicable)
Where the Services involve payments – whether for Platform fees, subscription charges, or Transactions where Green-Hydro is the seller – the following terms apply:
11.1 Currency and Pricing
Unless otherwise indicated, all prices are stated in United States Dollars (USD). Prices may be shown in additional currencies for informational purposes; the USD price prevails in case of discrepancy. Prices exclude applicable taxes, duties, and shipping costs unless expressly stated otherwise.
11.2 Payment Methods
We accept payment through the payment methods disclosed on the Services from time to time. You authorize us and our third-party payment processors to charge the payment method you provide for all amounts owed. You represent that you are authorized to use the payment method you provide.
11.3 Taxes
You are responsible for all taxes, duties, tariffs, and other governmental charges applicable to your use of the Services or Transactions you enter through the Services, other than taxes based on Green-Hydro’s net income.
11.4 Refunds and Cancellations
Refund and cancellation policies for specific Services will be disclosed at the time of purchase or in supplemental agreements. Unless expressly stated otherwise, fees paid to Green-Hydro are nonrefundable.
11.5 Failed or Disputed Payments
If a payment fails, is reversed, or is disputed, Green-Hydro reserves the right to suspend or terminate your access to affected Services and to pursue collection of amounts owed, including through thirdparty collection agencies. You will be responsible for reasonable collection costs, including attorney’s fees.
12. Warranties and Disclaimers
IMPORTANT LEGAL NOTICE
Please read this section carefully. It limits the warranties and representations Green-Hydro makes to you and disclaims certain implied warranties. If you do not accept these disclaimers, do not use the Services.
12.1 Services Provided "AS IS"
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GREENHYDRO EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
12.2 No Warranty as to Availability or Accuracy
Green-Hydro does not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from the Services will be accurate or reliable
- Any errors in the Services will be corrected
- The Services or the servers that make them available are free of viruses or other harmful components
12.3 No Warranty as to Third-Party Users or Content
Green-Hydro makes no warranties regarding the identity, honesty, capacity, or performance of any User of the Services. We do not endorse any User Content, product listings, or communications submitted by Users, and we are not responsible for the accuracy, quality, or legality of User Content or Transactions.
12.4 Investment and Financial Content Disclaimer
Financial projections, business plans, and investor materials on the Sites are for informational purposes only. Green-Hydro does not provide investment advice. Any forward looking statements involve risks and uncertainties, and actual results may differ materially. Consult independent professional advisors before making any investment decision.
12.5 Agricultural and Food Safety Disclaimer
Information provided through the Services regarding agricultural practices, growing techniques, food handling, or product characteristics is provided for general informational purposes. It does not substitute for professional agronomic, food safety, veterinary, or regulatory advice. Users are responsible for verifying compliance with all applicable food safety and agricultural regulations.
13. Limitation of Liability
13.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GREEN-HYDRO, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.
13.2 Cap on Direct Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREEN-HYDRO’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID GREEN-HYDRO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US$100).
13.3 Application
The limitations in this Section 13 apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Green-Hydro has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of these limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Green-Hydro, its affiliates, directors, officers, employees, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or relating to:
- Your use of or access to the Services
- Your violation of these Terms or any applicable law
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights
- Any User Content you submit or transmit through the Services
- Any Transaction you enter into with another User
- Your negligence or willful misconduct
Green-Hydro reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
15. Force Majeure
Green-Hydro shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to:
- Natural disasters (hurricanes, tropical storms, earthquakes, volcanic activity, floods, or other severe weather events)
- Acts of God, war, terrorism, civil unrest, or government action
- Epidemics, pandemics, or public health emergencies
- Labor disputes, strikes, or work stoppages
- Failure of utilities, telecommunications, or internet infrastructure
- Failure of third-party service providers
- Any other event or circumstance beyond our reasonable control
REGIONAL CONSIDERATION: Green-Hydro operates in the Commonwealth of Dominica, which is located in a hurricane-prone region. While our operations are designed with hurricane resilience in mind, severe weather events may temporarily interrupt Services or Transactions. We will make reasonable efforts to communicate service impacts and restore normal operations as promptly as circumstances permit.
16. Termination
16.1 Termination by You
You may terminate your account and stop using the Services at any time by following the account closure process on the Services or by contacting us at info@greenhydro.com. Termination does not entitle you to a refund of fees paid, except as otherwise expressly provided in these Terms or by applicable law.
16.2 Termination by Green-Hydro
We may suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, but are not limited to:
- Breach of these Terms or any supplemental agreement
- Fraudulent, deceptive, or unlawful use of the Services
- Failure to pay amounts due
- Prolonged inactivity
- Discontinuation of the Services or any portion thereof
- Legal, regulatory, or safety concerns
16.3 Effect of Termination
Upon termination of your account:
- Your right to access the Services immediately ceases
- We may delete or archive your account data, subject to our data retention policies
- Any outstanding payment obligations become immediately due and payable
- Sections of these Terms that by their nature should survive (including Sections 7, 9, 12, 13, 14, 17, 18, and 21) will continue in effect
17. Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Commonwealth of Dominica, without regard to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
18. Dispute Resolution
18.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at info@green hydro.org to describe the dispute and attempt to resolve it informally. We will attempt in good faith to resolve any dispute within thirty (30) days of receiving your written notice.
18.2 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered under the arbitration rules of the Eastern Caribbean Supreme Court or such other arbitral institution as the parties may mutually agree. The arbitration shall be conducted in Roseau, Dominica (or virtually where mutually agreed), in the English language, before a single arbitrator.
18.3 Exceptions to Arbitration
The following disputes are not subject to arbitration and may be brought in the courts of the Commonwealth of Dominica or, where jurisdiction otherwise applies, in another appropriate court:
- Small claims (as defined by applicable law)
- Claims for injunctive or equitable relief
- Claims involving intellectual property rights
18.4 Jurisdiction and Venue
For any dispute not subject to arbitration, you and Green-Hydro submit to the exclusive jurisdiction of the courts of the Commonwealth of Dominica, and waive any objection to venue in such courts.
18.5 Class Action Waiver
To the maximum extent permitted by applicable law, you and Green-Hydro agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.
19. Modifications to Terms
We may modify these Terms at any time. When we make material changes, we will:
- Post the updated Terms on the Sites with a new “Last Updated” date
- Notify registered Users by email or through prominent notice on the Services
- Where required by law or good practice, provide advance notice of significant changes
Your continued use of the Services after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree with the modifications, you must stop using the Services and may terminate your account.

Any notice, request, or communication to Green Hydro under these Terms must be in writing and sent to:

Notices to you may be provided by: (a) email to the address associated with your account, (b) posting on the Services, or (c) other reasonable means. You are responsible for keeping your contact information current.
21. General Provisions
21.1 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any supplemental agreements that expressly reference these Terms, constitute the entire agreement between you and Green Hydro regarding the Services and supersede all prior agreements and understandings.
21.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties’ original intent.
21.3 No Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or our right to enforce it later. Any waiver must be in writing and signed by an authorized representative of Green-Hydro.
21.4 Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations under them without our prior written consent. Any purported assignment without consent is void. Green Hydro may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
21.5 Relationship of the Parties
Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Green-Hydro. Neither party has the authority to bind the other or to incur obligations on the other’s behalf.
21.6 No Third-Party Beneficiaries
These Terms are solely for the benefit of you and Green-Hydro and are not intended to confer any rights or remedies on any third party.

These Terms are drafted in the English language. Any translation is provided for convenience only. In the event of any conflict between the English version and a translation, the English version prevails.
